1. Introduction and Company Information

These Terms of Service (“Terms”) govern your use of the website www.baseprotectnub.com (the “Website”) and the purchase of products from URBAN HABITAT LIVING PTE. LTD. (Company Registration No. 202118764E), a company registered in Singapore with its registered address at 62 Ubi Rd 1, Singapore 408734 (hereinafter “we”, “us”, “our”).

Our brand, BaseProtectNub, offers a range of table protector products that are made to order based on your specifications. By accessing our Website or placing an order, you agree to be bound by these Terms. If you are a consumer located in the European Union, these Terms are intended to comply with the EU Consumer Rights Directive (2011/83/EU) and other applicable consumer protection laws.

2. Orders and Contract Formation

2.1 When you place an order on our Website, you submit an offer to purchase the selected products subject to these Terms. After you complete the checkout process, we will send you an email acknowledging receipt of your order. This acknowledgment does not constitute acceptance of your order.

2.2 A binding contract between you and us is formed only when we send you a second email confirming that your order has passed our internal review (as described in Section 8) and has been accepted for production (“Order Confirmation”).

2.3 We reserve the right to refuse or cancel any order for any lawful reason, including if the order contains content that infringes third-party intellectual property rights or if we are unable to process your payment.

3. Prices and Payment

3.1 All prices displayed on our Website are in the currency indicated and are inclusive of applicable taxes. We strive to ensure that all prices are accurate, but errors may occur. If we discover an error in the price of a product you have ordered, we will inform you and give you the option of reconfirming your order at the correct price or cancelling it.

3.2 Payment must be made at the time of ordering through the secure payment methods offered on our Website. Please note that charges on your bank statement will appear as “URBAN HABITAT LIVING PTE. LTD.”. We do not store your full payment card details; all payment processing is handled by our payment partners.

4. Right to Cancel Within 24 Hours of Order

You have the right to cancel your order for any reason within 24 hours of placing it, without incurring any charges. To exercise this right, you must notify us by email at passive@baseprotectnub.com within 24 hours of your order placement. We will process a full refund to the original payment method within 14 days of receiving your cancellation notice.

5. Production, Shipping, and Delivery

5.1 Production Time: All our products are made to order. The production cycle is 3 business days from the order confirmation date. After production is completed, order processing takes 1-2 business days, and the order will be shipped from our factory located at 62 Ubi Rd 1, Singapore 408734.

5.2 Shipping Time: The estimated shipping time to destinations within Europe is 5-8 business days after dispatch. These timeframes are estimates and not guaranteed; however, we make every effort to adhere to them.

5.3 Tracking and Notifications: At each key stage of the delivery process—dispatch, arrival at European customs, and local carrier handover—we will send an automated email notification to the email address you provided during checkout. These emails contain tracking information so you can monitor the progress of your shipment.

5.4 Delivery Duty Paid (DDP): All orders shipped to European destinations are shipped on a Delivery Duty Paid (DDP) basis. This means that we assume responsibility for all customs duties, taxes, and import fees associated with your order. You will not be charged any additional amounts upon delivery. After your order clears customs, we will send you an email confirming that the goods have been cleared and are with the local carrier for final delivery.

5.5 Delayed Shipments: If your order exceeds the estimated delivery timeframe, please contact us at passive@baseprotectnub.com. We will initiate an investigation with the carrier. Depending on the outcome of the investigation, we will either arrange for a replacement to be sent or issue a full refund. To ensure your peace of mind, if your order has not arrived within 20 calendar days from the date of dispatch, you are automatically entitled to a full refund or a free replacement, regardless of the ongoing carrier investigation.

6. Risk of Loss and Title

In accordance with the EU Consumer Rights Directive, the risk of loss or damage to the products passes to you only when you (or a third party designated by you, other than the carrier) acquire physical possession of the goods. Title to the products remains with us until you have paid for them in full.

7. Returns, Refunds, and Quality Assurance

7.1 No Right of Withdrawal for Customised Goods: Because our products are made to your specifications and are clearly personalised, they fall within the exception provided under Article 16(c) of the EU Consumer Rights Directive. Accordingly, you do not have a statutory right to withdraw from the purchase for reasons other than those set out in Section 7.2 below.

7.2 Quality Guarantee – Defects and Errors: We stand behind the quality of our products. If you receive a product that is defective, damaged, or contains an error resulting from our production process (e.g., misprint), we will provide a full refund or a replacement, at your option, free of charge.

To request a remedy under this quality guarantee, you must notify us by email at passive@baseprotectnub.com within 14 days of receiving the product. Please include:

  • Your order number;
  • A description of the issue; and
  • Photographic evidence clearly showing the defect or error.

Upon our confirmation of the issue, you will not be required to return the defective item. We will process your refund or dispatch a replacement promptly.

7.3 Chargeback Policy: Before initiating a chargeback or dispute with your bank, we kindly request that you contact us at passive@baseprotectnub.com to resolve any issues regarding delivery or product quality.

8. User-Generated Content and Intellectual Property Review

8.1 Your Responsibility: Our Website allows you to upload text, images, or other content to personalise your chosen products. You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to use any content you submit, and that such content does not infringe the intellectual property rights (including copyright and trademark rights) of any third party. You acknowledge that you are solely responsible for any content you provide.

8.2 Acknowledgment Checkbox: Before completing your purchase, you will be required to confirm, by checking a box, the following statement: “I confirm that I own or have the legal right to use all content submitted for this order, and that it does not contain any unauthorised trademarks or copyrighted material.” Orders cannot be placed unless this confirmation is given.

8.3 Manual Review Process: When you place an order, we will only authorize (hold) the funds on your payment method. Your personalised content will then be subject to a manual review by our team, typically within 24 to 48 working hours. During this review, we assess whether the content appears to violate third-party intellectual property rights or our content guidelines.

8.4 Outcome of Review:

  • If the content is approved: We will capture the authorized funds, send you an Order Confirmation email, and your order will proceed to production.
  • If the content is not approved: We will cancel the order and immediately void/cancel the payment authorization. No funds will be captured from your account. We will notify you of this cancellation by email.

8.5 We reserve the right to refuse any order that, in our sole discretion, contains content that is unlawful, offensive, or infringing. Our decision is final and binding.

9. Limitation of Liability

To the maximum extent permitted by applicable law (including the mandatory consumer protection laws of your country of residence), our liability to you for any claim arising out of or relating to these Terms or the products sold through this Website shall not exceed the purchase price you paid for the products in question. We shall not be liable for any indirect, incidental, or consequential damages. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

10. Governing Law and Dispute Resolution

10.1 These Terms and any dispute or claim arising out of or in connection with them (including non‑contractual disputes) shall be governed by the laws of Singapore.

10.2 If you are a consumer resident in the European Union, nothing in these Terms deprives you of the protection afforded to you by mandatory provisions of the law of the country where you are habitually resident. You may bring any dispute related to these Terms before the competent court of that country. We, as the seller, may only bring proceedings against you in the courts of your country of residence.

10.3 Any dispute that cannot be resolved amicably may be referred to the Singapore courts, subject to the foregoing provisions protecting EU consumers.
